1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at abrajenergy.com and any related websites, digital platforms, portals or online services operated by or on behalf of Abraj Energy Services SAOG (“Abraj”, “we”, “us” or “our”) (collectively, the “Site”).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Notice, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must not use the Site.

We may amend these Terms at any time by posting the revised version on the Site with an updated “Last updated” date. Your continued use of the Site after any amendment constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

• Upload, post, transmit or otherwise distribute any content that is unlawful, defamatory, obscene, threatening, abusive, infringing, or otherwise objectionable;
• Attempt to gain unauthorised access to any part of the Site, its servers, databases or any connected systems or networks;
• Introduce viruses, trojans, worms, logic bombs, ransomware or other material that is malicious or technologically harmful;
• Use any automated system, including robots, spiders, scrapers or other data-mining tools, to access, monitor or copy any content from the Site for any commercial purpose without our prior written consent;
• Frame, mirror or use framing techniques to enclose any portion of the Site without our express written permission;
• Use meta tags or any other hidden text incorporating Abraj’s name, trademarks or service marks without our express written consent;
• Interfere with or disrupt the proper functioning of the Site, or impose an unreasonable or disproportionately large load on our infrastructure;
• Engage in any other conduct that restricts or inhibits any person’s use or enjoyment of the Site, or that, as determined by Abraj, may harm Abraj, its reputation, or users of the Site.

5. Intellectual Property

All content, materials and information available on the Site, including but not limited to text, graphics, logos, images, photographs, videos, audio clips, data compilations, software, design elements, page layout and the selection and arrangement thereof (collectively, “Materials”), are the property of Abraj or its licensors and are protected by applicable intellectual property laws, including copyright, trademark and trade secret laws of the Sultanate of Oman and international treaties.

You may view, download and print Materials from the Site solely for your personal, non-commercial, informational use, provided you do not modify or delete any copyright, trademark or other proprietary notices. No other right, title or interest in the Materials is transferred to you by virtue of accessing the Site.

The Abraj name, Abraj logo and all related names, logos, product and service names, designs and slogans are trademarks of Abraj or its affiliates. You must not use such marks without our prior written permission. All other names, logos and marks appearing on the Site are trademarks of their respective owners.

6. User Submissions

If you submit, post, upload or transmit any information, data, text, feedback, suggestions or other materials to Abraj through the Site (collectively, “Submissions”), you grant Abraj a non-exclusive, worldwide, royalty-free, irrevocable, perpetual licence to use, reproduce, modify, adapt, publish, translate, distribute, display and create derivative works from such Submissions for any business purpose.

You represent and warrant that: (a) you own or otherwise have the right to grant the licence described above; (b) your Submissions do not violate the intellectual property rights, privacy rights or any other legal or moral rights of any third party; and (c) your Submissions do not contain unlawful, defamatory or otherwise objectionable material. You agree to indemnify Abraj against any claims arising from any breach of these warranties.

Submissions do not include personal data submitted in the context of a job application, procurement process or contractual relationship, which is governed by our Privacy Notice and any applicable agreements.

7. Disclaimer of Warranties

THE SITE AND ALL MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ABRAJ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS AND RELIABILITY.

Abraj does not warrant that: (a) the Site will be available at all times or without interruption; (b) the Site will be free from errors, viruses or other harmful components; (c) any defect will be corrected; or (d) the results obtained from using the Site will be accurate or reliable.

No information, whether oral or written, obtained from the Site or through any Materials shall create any warranty not expressly stated in these Terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ABRAJ, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, LICENSORS AND SUPPLIERS (COLLECTIVELY, “ABRAJ PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of, or inability to use, the Site or any Materials;
• Any conduct or content of any third party on or through the Site;
• Any Materials obtained from the Site;
• Unauthorised access to, alteration of, or loss of your data or transmissions;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF ABRAJ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow the exclusion or limitation of liability for certain types of damages, the liability of the Abraj Parties shall be limited to the fullest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify and hold harmless the Abraj Parties from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your Submissions or any content you make available through the Site.

10. Third-Party Links and Resources

The Site may contain links, references or connections to websites, platforms and resources operated by third parties (“Third-Party Sites”). These links are provided for your convenience and information only and do not constitute an endorsement, sponsorship or recommendation by Abraj.

Abraj does not control Third-Party Sites and is not responsible for their content, privacy practices, security, availability or any products or services offered therein. Your use of any Third-Party Site is entirely at your own risk and subject to the terms and conditions and privacy policies of that site.

11. Investor and Financial Information

The Site may contain forward-looking statements, financial reports, press releases and other investor-related information. Such information is provided for general informational purposes only and does not constitute an offer, solicitation, invitation or recommendation to buy, sell, subscribe for or otherwise deal in any securities of Abraj.

The following provisions shall survive any termination of these Terms: Sections 5 (Intellectual Property), 6 (User Submissions), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), 15 (Governing Law) and 16 (General Provisions).

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Sultanate of Oman, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms or your use of the Site shall be submitted to the exclusive jurisdiction of the competent courts of the Sultanate of Oman, unless the parties agree in writing to resolve the dispute by arbitration or other alternative dispute resolution mechanism.

Nothing in this section shall prevent Abraj from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Notice and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Abraj with respect to your use of the Site, and supersede all prior or contemporaneous communications, whether electronic, oral or written.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect.

16.3 Waiver

No failure or delay by Abraj in exercising any right, power or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof.

16.4 Assignment

You may not assign, delegate or transfer your rights or obligations under these Terms without Abraj’s prior written consent. Abraj may assign these Terms, in whole or in part, without restriction.

16.5 Force Majeure

Abraj shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond Abraj’s reasonable control, including but not limited to natural disasters, war, terrorism, sanctions, government actions, epidemics, pandemics, labour disputes, power failures, network outages, cyberattacks or disruptions to telecommunications or internet services.

16.6 Language

These Terms are published in English and may also be made available in Arabic. In the event of any conflict between the English and Arabic versions, [the English / the Arabic] version shall prevail. [Note: confirm with Abraj Legal which language takes precedence.]
